Terms of Service — Your Town 411

By checking the agreement box on the signup form and completing payment of the $297 setup fee, you ("Customer") agree to these Terms of Service with Mpac Media Group ("Provider"). If you do not agree, do not complete your purchase.

1. Services

Provider will build, host, and maintain an online business directory for Customer's Territory. For a pre-built town, Provider has already built the directory before purchase, and Customer takes it over as a running directory. The service includes:

Support is part of the service: a launch (or takeover) onboarding call, a weekly live owners call with recordings, and 1-on-1 help.

Branding: the directory uses the standard Your Town 411 branding. Customer may personalize their operator identity — their name, photo, and local content — but may not alter the core Your Town 411 brand or present the directory system as Customer's own software.

Pricing: setup fee $297 one-time, which includes the first month of the monthly service fee. Monthly service fee $39/month, billed automatically beginning in month two.

Optional add-ons (such as the CRM) are not included in the $39 monthly fee. Add-ons are priced on the current offer sheet and billed separately when Customer chooses them.

2. Territory

Customer is granted the exclusive right to operate a Your Town 411 directory for the following Territory:

Territory (town/community name): _________________________________ (the town selected at signup)

Definition: Territory is defined as a single named community (incorporated city/town or recognized unincorporated community). In metropolitan areas, each component community is a separate Territory (e.g., Humble, Spring, Bellaire, and The Woodlands are each their own Territory within the Houston metro). Small standalone towns are their own Territory under the town name.

Exclusivity: Territories are assigned on a first-come, first-served basis. Provider will not sell or assign the same Territory to another customer while Customer's account is in good standing.

Overlap between towns: where two towns' coverage areas overlap, a business in the shared area may be listed in both directories. A paid plan a business buys in one directory runs in both directories for the one price. Eligibility is decided by geography. A business may appear in no more than two directories. The business's home directory — the one that sold and services its plan — keeps that plan's revenue. Overlap does not change exclusivity: each Territory still has only one operator.

3. Domain Name

Your town's domain. Your directory's web address (for example, tyler411.com) is registered to and held by us as part of your directory system, the same as the software itself. Your use of the domain is included in your monthly fee for as long as your town is active and in good standing. We handle renewals and all the technical side, and the name can never be taken, expire, or be sold out from under your town while you're its operator. If an operator leaves or an account is closed, the domain and the town stay with the system and may be reassigned.

Stated plainly: a system domain is never transferred to Customer — not during service, and not on cancellation. If an account closes, the domain stays with the system and the town may be reassigned to a new operator.

Cloudflare: every domain in the system runs through Cloudflare. System domains are registered at Cloudflare in Provider's account, and Provider manages their DNS, SSL, and renewals.

Customer's own domain: Customer may use a domain they already own instead of a system domain. That domain stays registered in Customer's name at Customer's registrar, and Customer remains responsible for its renewals. While the account is active, the domain's DNS must run through Cloudflare under Provider's management, so the directory's setup and support work the same as every other town. Provider will never change Customer's email (MX) records. If the account closes, Provider releases DNS management, and Customer may point the domain anywhere they wish.

4. The Town's Facebook Page

As part of setup, a Facebook Page is created for the Territory. Customer receives full control of the Page and runs it day to day. Provider remains a Page admin for continuity, support, and recovery — so a locked account or a forgotten password can never strand the town's Page. If the account closes, the Page follows the town to Provider or the successor operator.

5. Data

(a) The directory database. The Territory's directory database — the business listings Provider loaded, plus the claims and updates processed through the system — is part of the platform service. Customer has full use of it while the account is active. If the account closes, the database stays with Provider, so the town and its listed businesses continue without interruption under Provider or a successor operator.

(b) Customer's own material. Content and contacts that Customer independently created or collected outside the directory — their own original content and their personal contact lists — remain Customer's. Within 30 days after closure, Customer may ask Provider to export the Customer-added contacts that can be identified as theirs, and Provider will provide that export.

(c) The platform. Provider owns the directory platform, software, design templates, and all underlying code.

6. Payment & Cancellation

The $39/month subscription renews automatically each month. Customer may cancel at any time by emailing [email protected]. Service continues through the end of the current billing period. The setup fee is non-refundable once the directory build (or, for a pre-built town, the takeover) has begun. Monthly fees are non-refundable for the current billing period. When an account closes, the Territory, its domain, and its Facebook Page may be reassigned by Provider (see §§3, 4, and 7).

7. Transition of the Town's Paying Businesses

While the account is active, the Territory's listed businesses pay for their plans through Customer's own payment account (see §9). If the account closes for any reason, Customer will cooperate in an orderly transition of those paying businesses:

8. Suspension & Termination

If a monthly payment fails, Provider will send notice and reminders. If the failure is not resolved within 14 days of notice, Provider may suspend the directory and associated services until the balance is paid. If the failure is still unresolved 30 days after the first failed payment, Provider may close the account; §§6 and 7 then apply. Provider may suspend service immediately for unlawful content, spam, or violation of the acceptable-use terms (§11). Repeated violations may result in termination.

9. Payment Processing

Directory billing runs on Stripe. Customer must connect their own Stripe account to collect payments from businesses listed in their directory. Square, PayPal, and other processors are not supported for directory billing. Connecting Stripe is part of onboarding and is included in the setup fee — there is no separate charge for it. Provider does not process payments on Customer's behalf and has no access to Customer's payment funds.

10. Support

Provider includes email support for platform issues, bug reports, and how-to questions, along with the onboarding call, weekly live owners call, and 1-on-1 help described in §1. Custom development, additional integrations, or design work beyond the standard directory template are available at additional cost by quote.

11. Acceptable Use

Customer agrees not to publish unlawful, defamatory, misleading, or infringing content in their directory, marketplace, or newsletter. Customer is responsible for moderating user-submitted listings in their Territory.

12. Income Disclaimer

Any revenue figures shown in marketing materials are illustrative examples only. Provider makes no guarantee of income, number of listings, or business results. Customer's results depend on their own sales and marketing efforts.

13. Limitation of Liability

Provider's total liability under this agreement shall not exceed the fees paid by Customer in the 12 months preceding the claim. Provider is not liable for indirect, incidental, or consequential damages, including lost revenue.

14. Term & Governing Law

These terms take effect when Customer completes payment of the setup fee and continue month-to-month until cancelled by either party. These terms shall be governed by the laws of the State of Texas.

15. Acceptance

Customer accepts these Terms of Service by (a) checking the agreement box on the signup form and (b) completing payment of the setup fee. No physical or electronic signature is required. Continued use of the service and payment of the monthly subscription constitutes ongoing acceptance of these terms, including any updates. Provider will notify Customer of material changes by email at least 14 days before they take effect.
